Terms of Service

These Terms of Service ("Terms") govern your use of the circleBak application and website (the "Service"), operated by Penrod Ventures LLC, doing business as circleBak. By creating an account or using the Service, you agree to these Terms.

1. The Service

circleBak helps service businesses create quotes, send and schedule follow-ups, request reviews, and manage their pipeline. Features and availability may change over time.

2. Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account and, for Team plans, for the teammates you invite.

3. Free trial, subscriptions & billing

The Service is offered on a subscription basis: Solo at $29/month and Team at $59/month for up to 5 users. New accounts start with a 14-day free trial that requires a payment method. Unless you cancel before the trial ends, your subscription begins automatically and your payment method is charged the then-current fee. Subscriptions renew automatically each billing period until canceled. Payments are processed by Stripe; fees are non-refundable except where required by law. You can cancel anytime from billing settings; cancellation takes effect at the end of the current period.

4. Your content & customer data

You retain ownership of the content and customer information you submit. You grant us a limited license to host and process it to provide the Service. You represent that you have all rights and consents needed to upload customer information and to contact your customers.

5. Messaging & compliance

Text follow-ups are sent from your own device and number; automated emails are sent on your behalf. You are solely responsible for the content of your messages and for complying with all applicable laws, including the TCPA, CAN-SPAM, and any consent or opt-out requirements. You agree not to use the Service to send unlawful, harassing, or unsolicited messages.

6. Acceptable use

You may not misuse the Service, attempt to disrupt or reverse-engineer it, access it without authorization, or use it to violate the rights of others or any law.

7. Intellectual property

The Service, including its software, design, and branding, is owned by Penrod Ventures LLC and its licensors and is protected by law. These Terms do not grant you any rights to our trademarks.

8. Disclaimers

The Service is provided as is and as available without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that follow-ups or reviews will produce any particular result.

9. Limitation of liability

To the fullest extent permitted by law, Penrod Ventures LLC will not be liable for any indirect, incidental, special, or consequential damages, and our total liability for any claim will not exceed the amount you paid us in the 12 months before the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ends; certain provisions survive.

11. Governing law

These Terms are governed by applicable law, without regard to conflict-of-laws rules.

12. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes means you accept the updated Terms.
